KEY RESPONSIBILITIES:
Company Secretariat: 
1.	To organise, prepare agendas / documentation for all board &amp; Shareholder meetings and annual general meetings (AGMs) &amp; ensure that all documents are distributed to the appropriate people in a timely manner.
2.	To attend all Board &amp; Shareholder meetings and take the official minutes. Ensure that all minutes are securely filed and available to the appropriate individuals/ bodies for inspection. 
3.	To ensure that all legally required documents are filed with the appropriate legal/governmental agencies at the appropriate times.  
4.	To maintain statutory books, including registers of members, directors and secretaries. 
5.	To deal with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant company stakeholders. 
Legal Counsel: 
6.	To provide advice &amp; opinion to the Board and management on the legal, governance, accounting issues as and when required. 
7.	To provide legal input and advice for all operations, transactions and agreements and ensure that legal documentation is in place to support all transactions, agreements and contracts. 
8.	To monitor changes in relevant legislation and the regulatory environment, and taking appropriate action.
9.	To liaise with external regulators and advisers, such as lawyers and auditors.
10.	 To liaise with other managers/groups on all legal related issues.  
11.	To take the lead in instigating or reviewing all business contracts with the third parties or business partners.  
12.	To develop and overseeing the systems that ensure the company complies with all applicable legal and statutory requirements.
13.	 To provide management information to the CEO and the Board on a periodic and ad hoc basis regarding all legal and compliance aspects of the company.
